Terms and conditions
These terms apply to work carried out by Rascals BV, Kastanjestraat 21, 8800 Roeselare, Belgium (enterprise number BE 0793.578.378), unless a signed agreement says otherwise. Where the two conflict, the signed agreement wins.
Quotes and scope
A quote holds for thirty days and describes both what is being built and what is not. Work outside that description is discussed and priced before it is started, never billed afterwards as a surprise.
A fixed price is fixed against the scope it was written for. Changing the scope changes the price; that is a conversation, not a penalty.
Payment
Projects are invoiced in instalments agreed up front, typically a third at the start, a third partway and a third on delivery. Invoices are payable within fourteen days.
Late payment carries statutory interest under the Belgian law on late payment in commercial transactions. Before any of that, you will get an email — most late invoices are an oversight, not a dispute.
Your part
A project needs decisions, content and access at roughly the pace it was planned at. Where those are late, the delivery date moves by about the same amount; nothing is charged for waiting, but the calendar is honest about it.
Ownership
On full payment, the source code written for you is yours, together with the right to use, change and pass it on. It lives in your repository from the first commit.
Open-source components keep their own licences, and generic building blocks I have written before and will write again stay mine to reuse. Nothing specific to your business is ever reused elsewhere.
Warranty
For three months after delivery, anything that does not do what was agreed gets fixed at no charge. That covers defects; it does not cover new wishes, or something breaking because a third party you depend on changed.
Software is not claimed to be free of defects. It is claimed to be fixed when one is found.
Liability
Liability is limited to the amount invoiced for the work in question, and does not extend to indirect loss such as lost turnover or lost data. Nothing here limits liability for fraud or for deliberate wrongdoing, which cannot be limited by contract.
Backups are part of any hosting arrangement. Where you host it yourself, keeping backups is yours.
Confidentiality
Anything you tell me about your business stays between us, during the project and after it. A project may be described publicly — as the ones on this site are — only with your agreement, and never with figures or customer data in it.
Ending it
Either side can end an assignment in writing. Work done up to that point is invoiced, work not done is not, and you receive everything produced so far in a state you can hand to somebody else.
Belgian law applies, and the courts of the district of West Flanders, division Kortrijk, have jurisdiction.
